This website is owned and operated by Friending Inc., located at 2109 Gardenbrook Drive, Raleigh, NC 27606 (“Friending”, “we”, “our”, or “us”). Throughout this Site, the terms refer to Friending Inc. as the provider of all content, tools, and services offered on shop.friending.com (the “Site”).

By accessing the Site or purchasing products from us, you are using our “Services” and agree to be legally bound by these Terms of Service (“Terms”), along with any additional policies referenced throughout this document or made available by hyperlink. These Terms apply to all visitors of the Site, including browsers, customers, merchants, and contributors of content.

2. OVERVIEW OF SERVICES

The Site enables you to purchase physical products from Friending Inc. Certain products include a unique QR code that reveals a personal message you provide during checkout when scanned through the Friending mobile application (“Friending App”).
Some App features require account creation, but QR code viewing does not require registration or providing personal data.

Our e-commerce platform is built using WooCommerce, hosted on Google Cloud Platform (GCP), and payments are securely processed through Stripe.

3. ONLINE STORE TERMS

By using the Site, you represent that:

  • you are at least the age of majority in your state, OR

  • you are a minor using the Site with parental consent.

You may not use our products or Services for any illegal or unauthorized purposes.
Any violation of these Terms may result in immediate termination of your access to the Site.

4. GENERAL CONDITIONS

We reserve the right to refuse service to anyone, for any reason, at any time.

You understand that content you submit (excluding payment information) may be transferred unencrypted over networks.
Payment data is always encrypted and handled directly by Stripe.

You agree not to reproduce, duplicate, sell, or exploit any portion of the Service without express written permission.

5. ACCURACY, COMPLETENESS & TIMELINESS OF INFORMATION

We are not responsible if the information on the Site is inaccurate, incomplete, or outdated. Content is provided for general reference and may be updated at any time.

7. PRODUCTS, DIGITAL FEATURES & AVAILABILITY

Physical Products with Embedded QR Codes

Some products include a unique QR code that displays your written message through the Friending App. By submitting a message, you confirm:

  • it does not violate any laws, rights, or policies

  • it is free of harmful or inappropriate content

  • it will be displayed exactly as submitted

We reserve the right to reject or modify messages that violate content standards.

General Product Terms

We cannot guarantee that product colors, materials, or visual representations will appear identical across devices.

We may limit sales by region, quantity, or demographic.
All offers are void where prohibited by law.

We do not guarantee that the digital features attached to products will operate without interruption or error.

8. BILLING & ACCOUNT INFORMATION

We reserve the right to refuse any order.
We may limit quantities purchased per customer, per household, or per address.

If we modify or cancel an order, we will attempt to notify you at the contact information provided during checkout.

You agree to provide accurate, complete, and current purchase information, including:

  • will not contain unlawful, harmful, obscene, or offensive material

  • will not impersonate another person

  • will not include malware or harmful code

You alone are responsible for any content you provide.

13. ERRORS, INACCURACIES & OMISSIONS

You agree to indemnify and hold Friending Inc., its officers, employees, partners, and affiliates harmless from any claims or demands arising out of:

  • your violation of any law or rights of a third party

  • content you submit (including QR messages)

If any part of these Terms is found unenforceable, the remaining provisions remain in effect.

19. TERMINATION

These Terms are effective unless terminated by either party.

We may terminate or suspend your access to the Site at any time if we suspect a violation of these Terms.

You remain responsible for any amounts due up to the date of termination.

20. ENTIRE AGREEMENT

These Terms and any related policies constitute the entire agreement between you and Friending Inc. regarding the use of the Site and replace any prior agreements.

Any ambiguity shall not be interpreted against the drafting party.

21. GOVERNING LAW

These Terms are governed by and interpreted under the laws of the State of Delaware, without regard to conflict-of-law principles.
Any disputes arising shall be brought exclusively in courts located within the United States.

22. CHANGES TO TERMS

We reserve the right to update, modify, or replace any part of these Terms by posting changes on this page.
